ADVISORY BOARD

    The Advisors to Wingspan Capital Partners are experts in their respective fields of finance, accounting, turnaround management, law, banking, real estate, marketing, public relations and investor communications.  The Advisors act individually and as a group to advise the management of Wingspan in their efforts to identify, select, acquire, build and grow businesses in their target markets.

     The Advisors meet regularly with management and provide advice in the development of plans, are engaged by management in due diligence efforts of prospective investments, direct deal flow, engage in networking and routinely make introductions to influential strategic prospects.  The Advisors also participate individually with Wingspan in the investment in projects.

Van E. Conway

   Van Conway is nationally recognized in the fields of insolvency/bankruptcy; financing, reorganization and management of troubled companies; mergers and acquisitions; debt restructuring; and litigation support.  Mr. Conway has provided advisory services to under-performing businesses and related parties for nearly thirty years and is a Certified Turnaround Professional and Certified Insolvency and Restructuring Advisor.  He has been engaged as a turnaround consultant and financial advisor to clients in various industries, including: automotive, manufacturing, steel, service, transportation, distribution and contracting.  As a financial advisor, he has worked closely with debtors, lenders and creditor committees in out-of-court or Chapter 11 restructurings and has provided consulting services in turnaround, profit enhancement and cost reduction strategies. 

   In the area of litigation support services, Mr. Conway is uniquely qualified to provide expert testimony on lost profits, economic damages, business valuation and related matters.  As a Certified Public Accountant and Certified Fraud Examiner he also offers assistance with fraud related issues, including detection, investigation and quantification. 

   As one of the founders of Conway MacKenzie & Dunleavy, Mr. Conway has been with the firm since its inception in 1987. Previously, he was a Partner at Deloitte & Touche where he specialized in insolvency, litigation, and mergers and acquisitions. 

   Mr. Conway is a member of the Turnaround Management Association as well as numerous other professional organizations.  He is a Certified Valuation Analyst and is Accredited in Business Valuation by the American Institute of Certified Public Accountants.  He has a Bachelor of Science in Business Administration from John Carroll University and a Master of Business Administration from the University of Detroit.  Additionally, he has served on several corporate Boards of Directors and frequently writes and speaks on the topics of managing troubled companies and litigation support. 

 

Robert Frost

   Mr. Frost has spent 47 years actively involved in the international business community, including three years in the US Navy as a supply and fiscal officer on a destroyer; eight years as a business journalist and commentator with The New York Times, Business Week and the British Broadcasting Company; nearly 30 years as a consultant specializing in finance, marketing and business strategies. 

   Mr. Frost has served over 400 companies worldwide through ECOM Consultants, an international firm which he founded, and five years as an investment advisor and portfolio manager. 

   Over the past 25 years, Mr. Frost has served on more than a dozen boards of directors. 

   Mr. Frost completed his undergraduate work in international relations at the University of Pennsylvania and graduate work in international economics at New York University.  

   Mr. Frost served on the famous destroyer, USS Fletcher DD-445).  Bob's passion is blue-water sailing.  He is also an avid photographer, a horticulturist and an antiquarian book collector. 

   Bob and has wife Lois, have been married nearly 47 years. They have two married children and three grandchildren.



Rick Funston

Rick Funston is a principal with Deloitte & Touche LLP. Rick has over thirty-five years experience in working with directors and officers in small, mid and large cap companies across a broad range of industry sectors including aerospace and defense, automotive, financial services, energy and utilities, consumer business, telecommunications, technology and the public sector.

Rick created the concept of risk intelligence for both value creation and value protection. He works with boards of directors and senior executives on means to improve decision-making for competitive advantage through better risk intelligence.

He is a frequent speaker on creating and sustaining risk intelligence for competitive advantage in complex, global organizations and he has written numerous articles on ERM and risk intelligence.

Rick was the National Practice leader for Deloitte’s Governance and Risk Oversight Services and is the principal author of “Surviving and Thriving in Uncertainty: Creating The Risk Intelligent Enterprise™” for publication by John Wiley & Sons in April, 2010. He also serves on the Board of Visitors for the Oakland University School of Business Administration.



John E. Jacobs

   John Jacobs is a shareholder in the law firm of Maddin, Hauser, Wartell, Roth & Heller, P.C. of Southfield, Michigan.  Mr. Jacobs specializes in a wide variety of commercial and real estate transactions. Throughout his career Mr. Jacobs has handled numerous mergers, acquisitions and sales of businesses and represented developers in a wide range of real estate transactions.  Mr. Jacobs is very involved in assisting his clients in structuring and financing these transactions.  He has also represented a variety of real estate lenders in documenting and closing commercial real estate loans.  Mr. Jacobs has been involved in negotiating and structuring arrangements to address loan defaults on behalf of both lenders and borrowers. 

   Mr. Jacobs has been a lecturer for the Practicing Law Institute, Institute of Continuing Legal Education and National Business Institute, as well as being an Adjunct Associate Professor of Law at Wayne State University.  He has authored articles which have appeared in the Business Lawyer of the American Bar Association and the Michigan State Bar Journal. 

   Mr. Jacobs has been the President of several charitable organizations and currently serves on the Board of various charitable organizations. 

   Mr. Jacobs received his B.A. in accounting from Michigan State University.  He received his J.D. from the University of Michigan Law School. 



Daniel J. McEnroe

   Daniel McEnroe possesses more than twenty years of experience in financial and investment management roles.  He was previously managing director of Sundance Capital Partners LLC, a private advisory and investment firm.  Mr. McEnroe has been involved in managing investment and growth opportunities, generating improvements in operating and financial performance, and developing key personnel. 

   Mr. McEnroe has previously held executive positions with the Penske Corporation, including treasurer of Detroit Diesel Corporation, a publicly held subsidiary with $2.4 billion in revenues.  His responsibilities included debt, equity and lease financing-related activities, management of strategic investments and joint ventures, strategic planning, merger and acquisition activities, cost reduction initiatives, investor relations as well as cash and risk management. 

   Prior to his tenure with the Penske organization, Mr. McEnroe served as portfolio manager for an institutional investment management firm where he was responsible for funds with an asset value of more than $400 million.  He additionally has served as an executive consultant with a national financial consulting firm, with engagements involving a range of industries. 

   Mr. McEnroe is a former member of the Board of Directors of Noble International, Ltd., and served on its Executive Committee and Audit Committee.  He has experience in a board and/or senior advisor capacity to numerous entities in the areas of manufacturing, distribution, financial services, real estate and technology. 

   Mr. McEnroe received a BBA with distinction from the University of Michigan and earned a MBA degree with distinction from the J.L. Kellogg Graduate School of Management at Northwestern University. 

   Mr. McEnroe has attained the Chartered Financial Analyst (CFA) designation and is a member of the CFA Institute. 



Philip G. Putnam

Philip Putnam started his highly accomplished career at Smith Barney & Co. in the 1960’s, Mr. Putnam has over 45 years of experience in financing, advising, and investing in old and “new” economy companies.

In 2000 he was a co-founder of Flagstone Capital LLC, an investment firm specifically organized to provide financing to small companies, both public and private. In 2009, he formed Highview Associates, which provides strategic and financial consulting to corporations and institutional investors.

For over 30 years, he has served as a Director and Chairman of the Audit Committee of The Middleby Corporation, a leading major manufacturer of institutional food equipment.

Mr. Putnam is a graduate of Wesleyan University and presently a member of the Wesleyan Career Advisory Council and holds an MBA from Harvard Graduate School of Business Administration.
